dear jason,
from 15 to 17 may, i took a 3-day business trip to weihai, a very small city located at the northeast corner of shandong province, for attending rounds of meetings with the senior managerial staff of a hong kong listed company in respect of matters relating to the proposed withdrawal of its listing on the growth enterprise market of the stock exchange of hong kong limited and listing on the main board and i was the only representative from my firm. from last monday to wednesday, i took another 3-day business trip to the same company and attended similar meetings with the same people but this time, I went with my colleague. may be I should let you know something about our roles and responsibilities in the meetings and the listing project. our firm acts as the legal advisers to the sponsor and our main task throughout the listing project is to prepare the verification notes, that is, to verify every single sentence in the prospectus (and in this case, the introduction document), in the form of q&a, against supporting documents mostly provided by the company. As you can imagine, the verification notes is a huge document with more than 400 pages and preparing the verification notes is definitely a time-consuming and laborious exercise which only exists in the common law jurisdictions. so what we did in the meetings was that we had long discussions with mostly senior staff from the major departments of the company and we tried to verify each statement in the introduction document against documents and information provided by the company.
the meetings lasted for 12 hours last tuesday and wednesday. we had lunch at around 12:30p.m. and dinner after 8p.m. and they were usually hosted by mr. yuan, the secretary to the board of directors of the company. due to our non-acquaintance and dissimilarity in cultures, all of us including the representatives from the sponsor and mr. yuan had to come up with some common topics, usually in an awkward manner, in order to avoid dead air in our conversations. we talked about the world cup, george fxxking bush, mr. yuan's new nokia mobile phone and my new ipod nano.
we took the 6:10p.m. flight from yantai (which is around 70km away from weihai) to beijing and 8:50p.m. flight from beijing back to hong kong. unfortunately, the flight from beijing to hong kong was delayed for 2 hours for some unknown reasons. it's 3a.m. on thursday morning when i got back home.
within the last three weeks, i took a total of three business trips to china and was mentally and physically exhausted after each one of them. did i enjoy the trips? nope, definitely not. i'd rather work in the office till 3 or 4a.m. in the morning when given the choice.
anyway, you should know that my 27th birthday is comng up in a few days and so far i dun have any idea or plan of what i can do other than having dinner with my family or best friends that night. probably i'll go watching crash (the winner of the best picture in the academy awards this year) again. crash is probably my favourite film released in 2005.
